These Terms of Use set forth the standards of use and access and other requirements applicable to your access to and use of the products and services of Trend Health Partners, LLC and/or its affiliated entities (“we” or “us”) regarding which these Terms of Use have been presented to you (collectively, the “Services”), including, for example, our TRENDConnect application (and any and all modules thereof) and any restricted website, products and services, and client or other online or hosted software known as “CAVO.”
You agree to be bound by these Terms of Use, as well as our Privacy Policy and other policies we identify in these Terms of Use. You represent that you are at least age 18 and have the power and authority to agree to these Terms of Use. You may only access and use the Services if you are authorized to do so under a contract between us and your organization or another entity with which we have a contract (“Services Contract”). All access to and use of the Services by you must only be for the benefit of and on behalf of that organization or entity (the “Contracted Organization”) under the Services Contract, and you may only access and use the Services to the extent the Contracted Organization’s Services Contract permits it. You may only access the Services from and use the Services within the United States of America. To the extent of any conflict between the Contracted Organization’s Services Contract and these Terms of Use, the Services Contract shall control.
We reserve the right, at any time, to update or otherwise modify these Terms of Use. These updates or other modifications shall become effective immediately upon publishing and notice will be provided to users of the Service via in-app notification, email, or other means. If you do not agree to any modifications or updates, you may not access or use the Services. Your access to or use of the Services after receiving a notice of any update or other modification constitutes your acknowledgement and acceptance of the Terms of Use, as so updated or modified. We and/or the Contracted Organization may limit, terminate, suspend, or restrict your access to or use of the Services anytime in our sole reasonable discretion.
Restrictions on Use by Minors
If you are under 18, you may not use the Services. The Services are not intended or designed to attract children under the age of 13. We do not collect personally identifiable information from any person we actually know is a child under the age of 13.
Accounts
You may have the opportunity to create an account to participate in certain features of the Services. If you are under the age of 18, you are not permitted to register as a user or otherwise submit personal information to us. If you create an account, you are responsible for maintaining your profile and using the settings available to protect the confidentiality of your profile username, password and all other personal information. You are responsible for all uses of your account, whether or not you have authorized them. You agree to provide, maintain and update true, accurate, current, and complete information about yourself in the applicable registration process. You may not impersonate any person or entity or misrepresent your identity or affiliation with any person or entity, including using another person’s username, password or other account information, or another person’s name, likeness, voice, image or photograph. You agree to promptly notify us at privacy@trendhealthpartners.com of any unauthorized use of your username, password, other account information or any other breach of security that you suspect or become aware of involving or relating to the Services. You also agree to exit your user account at the end of each session. The Services may offer you the opportunity to register or log in using social media or other third-party services. We do not control such media or services and are not responsible or liable for them or for your use of them.
Intellectual Property
We or our licensors (if any) exclusively own and retain all right, title, and interest in and to the Services and any and all technology, software, infrastructure, interfaces, and platforms we use to provide, make available, maintain, or support the Services (the “Platform”), including any modifications, upgrades, improvements and updates to the Platform. We or our licensors (if any) also own all right, title, and interest in and to any and all materials, audio, text, video, photographs, graphics, drawings, images, illustrations, documentation, content, and works of authorship provided or made available by us in, on, or through the Services or Platform, including derivative works thereof (the “Content”), as well as any and all ideas, concepts, know-how, methods, processes, inventions, and other intellectual property and other property embodied in or utilized by us to make available or provide the Services (the “Know How”), and any and all of our trademarks, service marks, names, logos, symbols, and slogans appearing in connection with the Services (the “Trademarks”), including, without limitation, patent, copyright, trademark, trade dress and trade secret rights in and to the Platform, Content, Know How and Trademarks (collectively, the “Intellectual Property”). You agree and acknowledge that no title, rights or interest in or to any Intellectual Property shall pass to you under these Terms of Use or by or through your use of the Services, and that your only right, title, or interest in or to any Intellectual Property is the limited right to access and use the Services to the extent permitted under the Contracting Organization’s Services Contract and these Terms of Use. You acknowledge that you have no right to copy or attempt to copy, or retain or attempt to retain, an electronic copy of any Intellectual Property or any portion thereof.
Use Rights and Restrictions
Subject to these Terms of Use and the Contracted Organization’s Services Contract, we grant you a non-exclusive, non-transferable, limited, revocable right to access and use the Services solely for the specific purposes stated in that Services Contract. Except as expressly provided herein, no license to use or reproduce any Services or Intellectual Property is given to you and all right, title, and interest therein and thereto is expressly reserved by us. Except as expressly provided in these Terms of Use, you will not, and you will not permit or authorize any third party to: (a) copy any Content or other Intellectual Property; (b) modify, translate or otherwise create derivative works of any Content or other Intellectual Property; (c) disassemble, decompile or reverse-engineer any Intellectual Property; (d) publish, re-sell, or otherwise make available to any third party any Intellectual Property; (e) export or re-export any Intellectual Property in violation of any United States or other export law; (f) use the Services or any Intellectual Property in any manner, directly or indirectly, that could damage, disable, overburden, or impair the Services or any Intellectual Property or interfere with any other party’s use and enjoyment of the Services; (g) sell, distribute, dispose of, or transfer any right or license to use the Services or any Intellectual Property to any third party; (h) directly or indirectly sell, license, rent, reproduce, modify or attempt to modify, or create derivative works of the Services in any way or reproduce or publicly display, perform, transmit or distribute or otherwise use the Services; (i) systematically retrieve data or other services from our Services to create or compile, directly or indirectly, a collection, compilation, database or directory; (j) delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from the Services; (k) remove, circumvent, disable, damage, or interfere with any security-related features or other elements of the Services or the Platform that are intended to limit or restrict, or enforce limitations or restrictions on, access to or use of the Services; (l) use the Services in any way that violates applicable state, federal, or international laws or other government requirements; or (m) attempt to do any of the foregoing.
User Data and Content
To the extent you transmit, upload, or provide into or using the Services any data, including any personally identifiable information, such as your social security number or other government-issued identification number, date of birth, address, telephone number, biometric data, mother’s maiden name, or email address (collectively, “User Data”), you hereby grant to us a non-exclusive, worldwide, perpetual, royalty-free license to use any and all User Data as appropriate or necessary for us to provide, administer, or improve the Services and you hereby consent to such use by us. You will not transmit, upload, or provide into or using the Services any User Data that you do not have the legal right and authority to transmit, upload, or provide and to grant and consent to our use of. We may de-identify, anonymize, pseudonymize, or aggregate User Data in a way that does not identify you (“De-Identified Data”), and you hereby acknowledge, consent, and agree that we have unlimited rights to use and exploit De-Identified Data.
Without limiting anything else, we are not responsible or liable for any User Data or any content, material, audio, text, video, photographs, graphics, drawings, images, illustrations, documentation, or works of authorship provided or made available in connection with the Services by anyone other than solely and directly by us (“Third-Party Content”), including, without limitation, as to the accuracy, truthfulness, completeness, currency, usefulness, correctness or reliability of any Third-Party Content, and you acknowledge and agree that we have no control over any Third-Party Content. Your use of Third-Party Content is at your and Contracted Organization’s sole risk. Neither the Services nor the availability of any Third-Party Content is intended to or constitutes legal, professional, medical or healthcare advice, guidance, or recommendations.
Our Services may offer public forums and other interactive communications. These features are public or may be subject to public access. You acknowledge that public forums offered on the Services are for public and not private communications. You must use respect when you interact with others through the Services. You and the Contracted Organization are responsible for the content you post and the consequences of posting the content, and your interactions with third parties through the Services. Such dealings are solely between you and such third parties. We may monitor your use of the Services anytime and for any duration of time. You shall not post or transmit through your use of the Services, and you will not permit or authorize any third party to post, upload, transmit, or provide into or using the Services: (a) any material that violates or infringes in any way on the rights of others, including, without limitation, any copyright, trademark, patent, trade secret, moral right or other intellectual property, personal, contractual, proprietary or privacy rights; (b) any material that impersonates another or is unlawful, threatening, abusive, false, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane, pornographic, lewd, filthy, excessively violent, harassing or otherwise objectionable; (c) any material that encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or international law; (d) any material that is an advertisement for goods or services or a solicitation of funds; (e) any material that includes personal information of others, such as messages that identify phone numbers, social security numbers, account numbers, addresses, or employer references; (f) any material that contains a formula, instruction, or advice that could cause harm or injury; (g) any material that is a chain letter or “spam” of any kind; (h) any software, code, routine, device, or other element that does or is designed to disable, damage, impair, erase, interfere with, deactivate, allow unauthorized access to, deny access to, extricate, expropriate, intercept, or repossess any system, hardware, software, or data or to permit such to be done, including, without limitation, any Trojan horse, trap door, back door, virus, ransomware, worm, time bomb, or cancelbot; or (i) any material the permitted use by us would result in our having any obligation or liability to any party. You are prohibited from using the Services to facilitate mail abuse or unsolicited email of any type (spam).
We may freely use any feedback, suggestions or ideas you provide to us, and you grant to us a perpetual, worldwide, transferable, sublicensable, irrevocable, non-terminable, royalty-free license to use such feedback, suggestions or ideas, in any way.
Disclaimers
You expressly agree that use of the Services is at your sole risk and discretion. The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we make no representations or warranties of any kind, and we hereby disclaim all warranties of every kind, express or implied, regarding the use or the results of or otherwise in connection with the Services or any Intellectual Property.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE OR ANY OF OUR LICENSORS, OR AFFILIATED COMPANIES, OR ANY PERSON OR ENTITY ASSOCIATED WITH ANY OF THE FOREGOING ENTITIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE OR OTHER DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO THE SERVICES OR ANY INTELLECTUAL PROPERTY.
Any and all disagreements, disputes, or issues you have with or related to the Services must be resolved solely between you and the Contracted Organization.
